RATCH – TERMS OF USE

These Terms of Use (“Terms”) govern your use of the Ratch marketplace website and related services (“Platform”, “Ratch”, “we”, “us”, “our”).
By using Ratch, creating an account, listing products, purchasing products, or otherwise accessing the Platform, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
1. ABOUT RATCH
Ratch is an online multi-seller marketplace platform that allows independent sellers to list and sell products directly to buyers.
Unless expressly stated otherwise, Ratch is not the seller of listed products. The contract for the sale of goods is formed directly between the buyer and the seller.
Ratch provides marketplace services only.
2. ELIGIBILITY
You must be at least 18 years old to use Ratch.
By using the Platform, you confirm that:
- you are legally capable of entering into binding contracts;
- all information you provide is accurate and up to date;
- you will comply with all applicable laws and regulations.
3. USER ACCOUNTS
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity carried out under your account;
- ensuring your account information remains accurate.
We may suspend or terminate accounts that:
- breach these Terms;
- engage in fraudulent or unlawful activity;
- create risk or liability for Ratch or other users.
4. MARKETPLACE ROLE
Ratch operates solely as a marketplace platform.
We do not:
- manufacture products;
- take ownership of goods;
- guarantee product quality, legality, safety, or authenticity;
- guarantee seller performance or buyer conduct.
Any sale contract is between the buyer and the seller only.
5. SELLER TERMS
By listing products on Ratch, sellers agree that:
5.1 Seller Responsibilities
Sellers are solely responsible for:
- product listings;
- pricing;
- descriptions;
- shipping;
- taxes;
- refunds;
- customer support;
- legal compliance.
5.2 Compliance With UK Consumer Law
Sellers must comply with all applicable laws including:
- Consumer Rights Act 2015;
- Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013;
- Consumer Protection from Unfair Trading Regulations 2008;
- applicable product safety laws.
5.3 Accurate Listings
Listings must:
- accurately describe products;
- include clear pricing;
- include delivery information;
- not contain misleading or deceptive statements.
5.4 Prohibited Products
Sellers must not list:
- counterfeit goods;
- illegal items;
- stolen goods;
- unsafe products;
- infringing intellectual property;
- prohibited or regulated products without legal authorisation.
Ratch reserves the right to remove listings at any time.
5.5 Handmade / Original Goods
Where products are described as handmade, custom-made, vintage, or original, sellers warrant that such descriptions are truthful and accurate.
6. BUYER TERMS
Buyers agree that they:
- are responsible for reading listings before purchasing;
- enter into contracts directly with sellers;
- must provide accurate delivery and payment information.
Buyers may have statutory rights under UK consumer law, including cancellation and refund rights.
Nothing in these Terms limits any statutory consumer rights.
7. PAYMENTS AND FEES
Ratch may charge:
- listing fees;
- commission fees;
- subscription fees;
- payment processing fees.
All applicable fees will be displayed on the Platform.
Fees may be changed at any time upon reasonable notice.
Payments may be processed by third-party payment providers.
Ratch is not responsible for third-party payment services.
8. RETURNS, REFUNDS AND CANCELLATIONS
Sellers are responsible for handling returns, refunds, and cancellations in accordance with applicable law.
Under UK consumer law, buyers may have cancellation rights for eligible purchases made online.
Certain products may be exempt from cancellation rights, including personalised or custom-made goods where permitted by law.
Nothing in these Terms excludes statutory rights.
9. CONTENT AND INTELLECTUAL PROPERTY
Users retain ownership of content they upload to Ratch.
By uploading content, you grant Ratch a worldwide, non-exclusive, royalty-free licence to:
- display;
- reproduce;
- distribute;
- market;
- modify formatting;
- promote such content in connection with the Platform.
You must not upload content that:
- infringes intellectual property rights;
- is defamatory;
- is unlawful;
- contains malware or harmful code.
10. TRADE MARKS
“Ratch” and associated branding, logos, and designs are the property of Ratch unless otherwise stated.
You may not use our branding without written permission.
11. PLATFORM AVAILABILITY
We do not guarantee uninterrupted or error-free access to the Platform.
We may:
- modify;
- suspend;
- discontinue;
- remove features
at any time.
12. TERMINATION
We may suspend or terminate accounts immediately if users:
- breach these Terms;
- engage in fraud;
- abuse the Platform;
- create legal or reputational risk.
Users may close their accounts at any time.
Termination does not affect accrued legal rights or obligations.
13. LIMITATION OF LIABILITY
Nothing in these Terms excludes liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability which cannot legally be excluded under UK law.
To the maximum extent permitted by law, Ratch shall not be liable for:
- indirect or consequential losses;
- loss of profits;
- loss of business;
- loss of data;
- disputes between buyers and sellers;
- product defects or delivery failures.
Ratch’s total liability arising from use of the Platform shall not exceed the total fees paid by the user to Ratch in the preceding 12 months.
14. INDEMNITY
You agree to indemnify and hold harmless Ratch from claims, liabilities, damages, losses, and expenses arising from:
- your breach of these Terms;
- your misuse of the Platform;
- your infringement of third-party rights.
15. PRIVACY
Use of the Platform is also governed by our Privacy Policy and Cookie Policy.
Users must comply with applicable data protection laws when handling personal information.
16. DISPUTES
Users should attempt to resolve disputes directly.
Ratch may, but is not obliged to, assist in dispute resolution.
Ratch is not responsible for resolving disputes between buyers and sellers.
17. CHANGES TO THESE TERMS
We may amend these Terms from time to time.
Updated Terms will be published on the Platform with a revised “Last Updated” date.
Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
18. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
